Website Design & Hosting Agreement

This Website Design & Hosting Agreement (“Agreement”) governs the relationship between XBorderWeb (“Company”, “we”, “us”, or “our”) and the client purchasing website services (“Client”).

By submitting payment for any website project, the Client confirms that they have read, understood, and agreed to the terms outlined in this Agreement.

1. Website Design Services

XBorderWeb provides custom website design and development services for service-based businesses.

Website projects may include one of the following packages:

• Starter Website
• Professional Website
• Premium Website

Each package includes a predefined number of pages, features, and revision rounds as outlined on the XBorderWeb pricing page.

Any work requested outside the scope of the selected package may require additional fees and may extend project timelines.

2. Project Deposit

All website projects require a $399 project deposit before development begins.

The deposit:

• Secures the Client’s place in the project schedule
• Covers initial project planning and design work
• Is applied toward the total project cost

Deposits are non-refundable once work on the project has begun.

3. Remaining Balance

The remaining project balance must be paid before the website is launched or made publicly accessible.

XBorderWeb reserves the right to withhold website publication, domain connection, or project delivery until the project balance has been paid in full.

4. Client Responsibilities

To complete the project, the Client agrees to provide all necessary materials required to build the website, including but not limited to:

• Business information
• Service descriptions
• Photos, branding assets, or logos
• Contact details
• Any required credentials or integrations

Project timelines begin once all required materials have been received.

If the Client does not provide required materials within a reasonable timeframe, the project may be paused until all necessary information is received.

5. Project Timeline

Once all project materials have been received, XBorderWeb typically delivers the initial website preview within 3–5 business days.

Project completion timelines may vary depending on:

• Project scope
• Client feedback time
• Requested revisions

Delays in communication or feedback may extend the project timeline.

6. Revisions

Each website package includes a limited number of revision rounds.

Revisions include reasonable adjustments to:

• text content
• layout elements
• images
• formatting

Major design changes, additional pages, or new functionality requests may be considered additional work and may require additional fees.

7. Design Approval

Once the Client approves the website preview or final design, the design will be considered accepted.

Any additional design changes requested after approval may be considered additional work and may require additional fees.

If the Client does not provide feedback within 7 days after a website preview has been delivered, the design may be considered approved and the project may proceed to the next phase.

If the Client becomes unresponsive for more than 30 days during the project, the project may be considered paused and may require rescheduling before work resumes.

8. Website Hosting

All website projects include website hosting for the first 12 months after launch.

This hosting includes:

• Secure website hosting
• SSL certificate
• Server monitoring
• Security updates
• Website backups
• Performance monitoring

9. Annual Hosting Renewal

After the first year, an annual hosting & maintenance renewal is required to keep the website online.

Current renewal fee:

$249 per year

This renewal covers continued hosting infrastructure, security monitoring, backups, and server maintenance. Clients subscribed to an active Website Care Plan may receive a discounted hosting renewal depending on their selected plan.

Basic Care Plan – 20% off annual hosting renewal

Business Care Plan – 50% off annual hosting renewal

Unlimited Care Plan – FREE, annual hosting renewal included while the plan remains active.

If the annual hosting renewal is not paid, XBorderWeb reserves the right to suspend or remove the website from its hosting infrastructure until the renewal payment has been completed.

10. Optional Website Care Plans

XBorderWeb offers optional Website Care Plans that provide ongoing website updates, support, and performance improvements.

Care Plans may include services such as:

• content updates
• security monitoring
• performance optimization
• analytics monitoring
• SEO adjustments
• Google Business updates

Website Care Plans are optional services and are separate from the annual hosting renewal.

11. Care Plan Subscription Terms

Website Care Plans are billed as monthly subscriptions through XBorderWeb’s billing provider. By subscribing to a Website Care Plan, the Client agrees to maintain the subscription for a minimum commitment of 12 months.

After the initial 12-month term, the subscription continues on a month-to-month basis unless cancelled. If a Client cancels a Care Plan before completing the minimum commitment period, the remaining balance of the minimum term may become due.

Hosting renewal discounts or included renewals apply only while the Care Plan subscription remains active.

If a Care Plan subscription is cancelled, the standard hosting renewal fee will apply.

12. Website Ownership

Full ownership of the website design and files transfers to the Client only after all outstanding balances owed to XBorderWeb have been paid in full.

Outstanding balances may include, but are not limited to:

• remaining website project balances
• unpaid hosting or renewal fees
• unpaid subscription commitments such as Website Care Plans
• additional services requested by the Client

Until all outstanding balances have been paid, all website designs, files, assets, and related materials remain the property of XBorderWeb.

XBorderWeb reserves the right to withhold website files, suspend hosting services, or restrict website access until all outstanding balances have been paid in full.

Website files are delivered in the format used by the platform on which the website was built. XBorderWeb is not required to provide editable source files, development files, or platform exports outside of the platform used to build the website.

Requests for website migration, platform transfer, or rebuilding the website on another platform may be considered a separate project and may require additional fees.

13. Third-Party Services

Websites may rely on third-party services such as:

• hosting providers
• domain registrars
• payment processors
• analytics platforms
• scheduling or booking tools

XBorderWeb is not responsible for outages, policy changes, or technical issues caused by third-party providers.

14. Limitation of Liability

XBorderWeb is not responsible for business losses, lost revenue, or damages resulting from:

• website downtime
• hosting interruptions
• third-party platform failures
• search engine ranking changes

While reasonable efforts are made to maintain website stability and security, uninterrupted service cannot be guaranteed.

15. Chargebacks & Payment Disputes

By submitting payment, the Client agrees to contact XBorderWeb to resolve any billing concerns before initiating a chargeback or dispute with their payment provider.

Initiating a chargeback for services already delivered or in progress may result in immediate suspension of website services and hosting.

16. Policy Updates

XBorderWeb reserves the right to update this Agreement at any time as services evolve. Clients will be subject to the terms of the Agreement that were in effect at the time of their purchase.
